UAE corporate tax registration consultation for SMEs

UAE corporate tax registration is now a basic compliance requirement for almost every business in the country. Since federal corporate tax took effect for financial years starting on or after 1 June 2023, Mainland companies, Free Zone companies and some individuals running businesses must register with the Federal Tax Authority (FTA), even if they expect to pay no tax.

This guide explains who needs to register, how the tax works, the deadlines and penalties, and the reliefs that small businesses can use.

Who needs UAE corporate tax registration?

The following generally must register:

  • Mainland companies, including LLCs and other legal entities incorporated in the UAE
  • Free Zone companies and branches, even when they expect a 0% rate
  • Foreign companies with a permanent establishment or UAE-sourced income
  • Individuals whose business or business-activity turnover exceeds AED 1 million in a calendar year

Registration is required even if your profit is below AED 375,000, if you have made a loss or if you have just started trading.

How to complete corporate tax registration on EmaraTax

Registration is done online through the FTA's EmaraTax platform. The steps are:

  1. Create or log in to your EmaraTax account using UAE Pass or email.
  2. Create a taxable person profile for your company if one does not exist.
  3. Select corporate tax registration and complete the entity, business and ownership details.
  4. Upload supporting documents such as the trade licence, owner passports and Emirates IDs, and the Memorandum of Association.
  5. Add authorised signatory details and proof of authorisation.
  6. Submit and receive your corporate tax registration number (TRN), usually after FTA review.
Tip

Make sure the details in your application match your trade licence exactly. Mismatched names, activities or expired documents are the most common reasons for applications being returned. An up-to-date licence matters, so check your trade license renewal date first.

Deadlines and penalties

Deadlines depend on when your company was set up. Companies incorporated from 1 March 2024 onwards generally need to register within three months of incorporation. Businesses that existed earlier were given deadlines based on their licence issue month, and those deadlines have now passed.

  • Late registration: AED 10,000 administrative penalty
  • Late filing: monthly penalties for returns submitted after the deadline
  • Late payment: penalties on unpaid tax, calculated monthly
  • Poor record keeping: separate penalties for incomplete records

If you have missed a deadline, register as soon as possible and get advice, because further delay increases the exposure.

Small Business Relief and Free Zone rules

Small Business Relief

UAE resident businesses with revenue of AED 3 million or less in the current and previous tax periods may elect Small Business Relief. Electing it means they are treated as having no taxable income for that period, with simpler reporting. The relief currently applies to tax periods ending on or before 31 December 2026, so many SMEs should plan now for the years after it ends. You must still register and file a return to claim it.

Qualifying Free Zone Persons

Free Zone companies can benefit from 0% on qualifying income if they maintain adequate substance, earn qualifying income, meet transfer pricing rules, prepare audited financial statements and elect to be a Qualifying Free Zone Person. Read more about UAE Free Zones.

Corporate tax vs VAT

Corporate tax is separate from VAT. VAT registration is mandatory when taxable supplies exceed AED 375,000 in 12 months and voluntary from AED 187,500. Each tax has its own registration and returns.
